Jack C. Chu is the President/CEO of Terra Solar North America, Inc., a
well known Thin Film Solar Energy Technology Company, a wholly owned
subsidiary of a Hong Kong listed company which manufacture equipment that
produce solar modules. He is also a 20 years veteran of Certified Commercial
Investment Member (CCIM), an astute businessman and high-tech visionary with
an established track record of building successful projects and other ventures
throughout Greater China. Raised in the United States, but he lived and worked
in the Greater China Area for the last 18 years. During this time, he
successfully completed a number of projects and investments (investment return
as high as 5200%). Within his group, there are 5 publicly listed companies 4
of which is in Hong Kong and one in Australia. A native of Portland, he
graduated from Portland State University with a B.A. degree in Business
Administration and a construction degree from Portland Community College.
He also received an MBA degree from Gold Gate University in San Francisco,
California.
Through the various IT and development projects he has conceived, deployed
and managed, he has cultivated numerous relationships across China’s commercial
and government spheres. Those valuable relationships are critical to the
successfully navigating the intricacies of China's complex and ever changing
business environment and market dynamic.
Mr. Chu firmly understands the business and technological climates on both sides
of the Pacific. His background and experiences in Asia, combined with those from
the U.S. (Department of Energy and various American investment and brokerage houses)
provide him additional insights and understandings that are useful for Western companies
wishing to do business in China, as well as for Asian businesses seeking to access the
U.S. marketplace.

| Yuan Lee, PhD |

Chairman of Terra Solar Global, Inc.

Dr. Yuan Lee was appointed as Chairman of Terra Solar Global,
Inc. (TSG) in May 2007 after having held the CEO position for
three years. During his tenure as TSG’s CEO, Dr. Lee engineered
and completed China Solar’s acquisition of 51% of TSG in early 2006
and has started a series of strategic moves with the parent company
in the PV business since.
His current responsibilities with Terra Solar Group focus on the PV business
strategy, client relation management, and initiatives in marketing and business
development. In addition, Dr. Lee has been the spokesperson for Terra Solar's
Kiss a-Si Platform (“KASIP”) which represents the aggregates of the valuable
intellectual property and its applications that Terra Solar has built and accumulated
for many years. Dr. Lee has also participated in the sales and delivery of the
amorphous silicon PV module manufacturing equipment during these years.
Previously, he was an Executive Director at Morgan Stanley Investment Banking
Division on advisory service to major customers and, earlier, the Marketing
Director at Reuters America in charge of new business development targeting
Wall Street firms. Dr. Lee was also a nine-year veteran of Citicorp where he
earned senior management position responsible for marketing strategies and
new product development in financial information business.
Dr. Lee holds a Ph.D. in physics from Columbia University and lives in New
York, USA.

| Henry Chang Manayan, Esq., JD |

Executive Vice-President

As a former Board Director of Terra Solar, Mr. Henry Chang Manayan serves
as its Executive Vice President, where his focus includes strategic planning
and international sales. A lawyer and management consultant based in Silicon
Valley, California, Mr. Manayan served three terms as the Mayor of the City
of Milpitas, California, the first Asian-American ever elected to the position.
One highlight of his political career was an appointment to a White House
Advisory Panel by President Clinton. He was educated at Syracuse University,
Oxford University (Great Britain), Yale-in-China College, Golden Gate University
Graduate College of Banking and Finance, and received his Juris Doctor from the
University of Santa Clara School of Law. He also completed post-graduate work
at the London Business School and Harvard University.
Mr. Manayan has been a
college professor and lectured at the University of Washington (Seattle,
Washington, USA). His experience includes commercial real estate development
in five Western States and venture capital/private equity. He was one of the
Co-founding Directors of ViaGold Capital, Ltd., and helped to take it public
on the Australian Stock Exchange. He was involved in the merger and acquisition
of Culturecom Holdings, Ltd., which is listed on the Hong Kong Stock Exchange.
Currently, Mr. Manayan is also the President of The Transpacific Companies,
LLC, a finance and investment company based in Silicon Valley, California. He
is also a board director, officer, advisor or legal counsel to several companies,
organizations and charities.

| Frank B. Ellis, PhD |

Senior Technical Consultant

Dr. Ellis has extensive experience in designing more cost-effective
production equipment, including fused silica roller furnaces and conveyor
belt furnaces for the heating and cooling of the glass and injector heads
for the deposition of tin oxide and silicon dioxide. In particular, innovative
deposition processes developed by Dr. Ellis permit the use of inexpensive robust
single-slot injector heads. From 1983 to 1991, he worked in industry on the
development of hydrogenated amorphous silicon photovoltaic cells. From 1991
to the present, he has worked as a thin-film consultant for photovoltaic cells,
electrochromic devices, and low-emissivity glass. His work includes resolving
and improving manufacturing processes, designing new equipment, and analyzing
films' optical and electrical properties, stability, composition, and adhesion.
Dr. Ellis was put in charge of the project and produced the desired product.
He was given the first annual “Outstanding Individual Performance in Technology”
award. The following year he developed a new and improved process using less
expensive tin tetrachloride. Not long after this, he developed a silicon
dioxide sodium diffusion barrier layer that further improved the tin oxide
coating.
Dr. Ellis earned his PhD in chemistry from Harvard in 1983 and is a senior
lecturer in the chemistry department of the New Jersey Institute of Technology.
He has twenty-two publications and seven patents.

| Henry J. Behnke III |

Mr. Behnke has participated in the development, testing and installation of
equipment used in the manufacturing of amorphous silicon photovoltaic solar
cells for over 25 years. His responsibilities with Terra Solar Group focused
on the management of installation operations for PV systems, facility
management for manufacturing and R&D process development operations. Mr.
Behnke supervised the installation of turnkey manufacturing facilities on
location in Port Jervis, NY, Bridgend, Wales (UK) and Lens, France.
His professional qualifications include AIChE (American Institute of Chemical
Engineers), ASAE (The Society for Engineering in Agriculture, Food and Biological
Systems), ASTM (American Society for Testing and Materials), and ISA
(The Instrumentation, Systems and Automation Society). He holds an Executive
MBA from the Graduate School of Management of Rutgers University in 1994, and
BS Engineering from the College of Engineering of Rutgers University in 1981.

| Sandor Caplan |

Sandor Caplan, graduated from University of Pittsburgh with a Master’s degree
in Physics, has more than 40-year extensive experience in guiding leading-edge
technology concepts to full scale production. With solidly demonstrated
entrepreneurial and leadership skills, he is competent in a broad spectrum of
technical disciplines backed by direct work experience in research, development,
factory design, plant installation and manufacturing. He has successfully
installed and supported seven worldwide high technology manufacturing operations.
In the 70’s, he was the co-founder and chief operating officer of Ashley Butler,
Inc. which developed and manufactured large area liquid crystal displays. Items
produced included animated point of purchase advertisers, consumer and industrial
digital clocks and custom digital displays for various end users. Meanwhile, he
co-invented a patented liquid crystal medical thermometer which is successfully
developed, licensed and currently in production and distribution.

| William P. Nesmith |

|
William Nesmith is currently the Senior Energy Advisor for the National Association
of State Energy Officials (NASEO) located in Alexandria, Virginia. In this position
William provides expert advice and consultation to NASEO on a variety of energy
efficiency, renewable energy, sustainable development, and international programs.
William’s background includes a Master of Science degree and over twenty-five
years experience in the field of energy efficiency and renewable energy. He has
worked as a land use planner for local government, been a program manager with
state government, served as a public utilities specialist with the US Department
of Energy, Bonneville Power Administration, and served as the Assistant Director
for Energy Efficiency at the Oregon Department of Energy.
